AngloGold Ashanti Awards Share-Based Incentives to Executives Under 2024 Compensation Plan

AngloGold Ashanti Plc has granted share-based incentive awards to its executive directors and senior executives under its 2024 Omnibus Incentive Compensation Plan, reinforcing its long-term remuneration strategy.

In a regulatory filing dated February 25, 2026, the gold mining company disclosed that the awards were granted on February 23 and consist of Performance Stock Units (PSUs), Restricted Stock Units (RSUs) and Transition share awards. All were issued at no cost to the beneficiaries.

The PSUs are tied to a three-year performance period and are expected to vest in 2029, subject to the achievement of specified performance targets. The RSUs will vest in three equal instalments over a three-year period.

The Transition share awards are linked to a backward-looking three-year performance period ending December 31, 2025. These awards are scheduled to vest in 2029 for executive directors and in 2028 for other executive officers. AngloGold Ashanti indicated that this marks the final tranche of Transition awards, which were introduced to facilitate the company’s move from its legacy incentive scheme to a forward-looking compensation structure.

Under the latest grants, Chief Executive Officer Alberto Calderon received 28,588 PSUs, 19,058 RSUs and 10,408 Transition shares. Chief Financial Officer Gillian Doran was awarded 11,678 PSUs, 7,786 RSUs and 4,244 Transition shares.

Other senior executives, including Lisa Ali, Stewart Bailey, Terry Briggs, Marcelo Godoy, Lizelle Marwick and Marcelo Pereira, also received varying allocations of PSUs, RSUs and Transition shares, reflecting their respective roles and responsibilities within the company.

The awards were valued using a six-month trailing volume-weighted average price of US$74.49 as at January 31, 2026. AngloGold Ashanti’s ordinary shares are listed on the New York Stock Exchange and the Johannesburg Stock Exchange under the ticker symbols AU and ANG.

According to the company, the incentive awards are designed to align executive remuneration with long-term shareholder value creation and sustained corporate performance.
